These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User", "you") and Fosia Ltd, a Private Limited Company incorporated in the Republic of Rwanda under the Rwanda Development Board (RDB), Tax Identification Number: 122245701, registered address: Kigali, Rwanda ("SHEREHE", "Fosia Ltd", "we", "us", "our").
Fosia Ltd owns and operates the SHEREHE platform (sherehe.io and all associated sub-domains), including the Keza AI assistant, all software, features, content, and services accessible thereon.
By accessing the Platform, creating an account, or using any of our Services (including via WhatsApp, Telegram, embedded widgets, or any other interface), you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Platform.
SHEREHE provides a technology platform for the planning and management of African celebrations. Services include, without limitation:
SHEREHE is a technology intermediary. We are not an event agency, caterer, venue, photographer, or any other event service provider. We provide tools that connect users with independent professionals.
You accept these Terms by:
If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, "you" and "User" shall refer to that entity.
These Terms apply each time you access or use the Platform, regardless of the device or interface used.
By interacting with Keza AI, you acknowledge and agree that:
All prices are displayed in USD and may be converted to local currency at checkout. Prices include applicable taxes where required by law. SHEREHE reserves the right to modify pricing at any time, with at least 30 days' notice for existing subscriptions.
Subscriptions auto-renew unless cancelled before the renewal date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued except as required by law.
SHEREHE may offer promotional pricing, free trials, or discount codes. Such offers are non-transferable and subject to their specific terms.
Mobile Money payments (MTN Mobile Money, Airtel Money, and other supported methods) are processed by SHEREHE's certified and licensed payment processing partners. SHEREHE does not directly handle, store, or transfer your Mobile Money funds.
By connecting or interacting with SHEREHE through WhatsApp, Telegram, SMS, or email, you agree to:
To opt out of WhatsApp messages, send "STOP" or "DECONNEXION" to the Keza WhatsApp number at any time. Standard messaging rates from your carrier may apply. Opting out of transactional messages (e.g., payment confirmations) may limit your ability to use certain Services.
SHEREHE is not responsible for message delivery failures, delays, or errors caused by third-party messaging platforms or telecommunications networks.
SHEREHE's Ambassador Program allows eligible Users to earn commissions by referring Organizers and Vendors to the Platform. Participation is subject to:
The Vendor Marketplace connects Organizers with independent event professionals. You expressly acknowledge that:
Anti-Circumvention & Non-Solicitation
By using the Vendor Marketplace, both Organizers and Vendors agree that:
Your Content: You retain full ownership of all User Content you create on the Platform. By submitting content, you grant Fosia Ltd a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that content solely for the purpose of providing and improving the Services. This license terminates upon permanent deletion of the content or your account, subject to legal retention obligations.
You represent and warrant that: (a) you own or have all necessary rights to the User Content you submit; (b) your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; (c) your User Content complies with applicable law and these Terms.
SHEREHE's Intellectual Property: All rights, title, and interest in and to the Platform (including its design, software, code, algorithms, databases, cultural event models, Keza AI system, trademarks "SHEREHE" and "KEZA", logos, graphics, and all content produced by SHEREHE) are the exclusive property of Fosia Ltd, protected under:
You are expressly prohibited from: reverse-engineering, decompiling, or disassembling any part of the Platform; scraping, harvesting, or extracting data by automated means; reproducing, distributing, or creating derivative works from SHEREHE's proprietary content; using the trademarks "SHEREHE" or "KEZA" without prior written authorization.
You agree not to use the Platform to:
Violation of these prohibitions may result in immediate account suspension, termination, and referral to competent law enforcement authorities.
Data Controller: Fosia Ltd is the data controller for all Personal Data processed through the Platform, in accordance with Rwanda Law No. 58/2021 of 13/10/2021 on the protection of personal data and privacy.
Data Processed: SHEREHE processes the data necessary to provide the Services, including identification data, contact details, event data, usage data, payment references, and messaging content. Processing is based on contractual necessity, legitimate interest, and legal obligation.
Your Rights: Subject to applicable law, you have the right to: access your data; correct inaccurate data; request deletion ("right to be forgotten"); receive your data in a portable format; object to or restrict certain processing; withdraw consent at any time (where processing is based on consent). International Transfers: Your data may be transferred to and processed in countries outside Rwanda, subject to appropriate safeguards. For EU/EEA users, transfers comply with applicable data transfer mechanisms under the GDPR (Regulation (EU) 2016/679).
Retention: Data is retained for the duration of your account and for the periods required by applicable law (generally 5 years under Rwandan law for financial data).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not permit certain exclusions or limitations of liability. In such cases, liability is limited to the fullest extent permitted by applicable law. Nothing in these Terms limits liability that cannot be excluded under mandatory applicable law (including liability for fraud, death, or personal injury caused by gross negligence).
You agree to indemnify, defend, and hold harmless Fosia Ltd and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with:
SHEREHE reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with SHEREHE in the defense of any such claim and not to settle any claim without SHEREHE's prior written consent.
SHEREHE shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent caused by circumstances beyond SHEREHE's reasonable control, including but not limited to: acts of God; natural disasters (floods, earthquakes, fires); epidemics or pandemics; war, armed conflict, civil unrest, or terrorism; government actions, sanctions, embargoes, or regulatory orders; strikes or labor disputes not involving SHEREHE's workforce; failures of third-party telecommunications networks, internet infrastructure, cloud services, or payment processing networks; mobile network operator outages; cyberattacks, ransomware, or large-scale security incidents affecting SHEREHE's infrastructure providers; or any other event or circumstance outside SHEREHE's reasonable control. In such events, SHEREHE will make reasonable efforts to resume performance as soon as practicable and will notify affected Users accordingly.
Termination by You: You may close your account at any time by contacting [email protected] or using the account deletion option in your profile settings. Upon termination, your license to use the Platform ceases immediately.
Suspension or Termination by SHEREHE: SHEREHE may suspend or permanently terminate your account, with or without prior notice, in the event of:
Effect of Termination: Upon termination: (a) all licenses granted to you cease immediately; (b) your access to the Platform and all associated data is revoked; (c) amounts already paid are non-refundable except as required by applicable law; (d) any outstanding payment obligations survive termination.
Data Retention Post-Termination: Following account closure, your Personal Data is retained for the minimum period required by applicable law (generally 5 years for financial and transactional data under Rwandan law), after which it is permanently deleted or anonymized. You may request a copy of your data before deletion by contacting [email protected].
Appeal: If you believe your account was suspended in error, you may submit a written appeal to [email protected] within 30 days. SHEREHE will review appeals within 15 business days.
Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any applicable Specific Conditions (Ambassador Program Terms), constitute the entire agreement between you and SHEREHE with respect to the Services and supersede all prior or contemporaneous agreements, understandings, negotiations, and representations, whether written or oral.
Severability: If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
No Waiver: SHEREHE's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver is only effective if made in writing and signed by an authorized representative of SHEREHE.
Assignment: SHEREHE may assign or transfer its rights and obligations under these Terms to any third party (including in connection with a merger, acquisition, corporate restructuring, or sale of assets) without your prior consent, provided that such assignment does not materially reduce your rights. You may not assign or transfer any of your rights or obligations without SHEREHE's prior written consent. Any purported assignment in violation of this clause is null and void.
Language: These Terms are provided in English and French. In the event of any conflict or ambiguity between the two versions, the French version shall prevail for Users resident in Francophone African countries; the English version shall prevail for all other Users.
Electronic Consent: You acknowledge that your electronic acceptance of these Terms (including by checkbox, click-through, or continued use) has the same legal force and effect as a handwritten signature under Rwandan law and applicable international e-commerce frameworks.
Governing Law: These Terms are governed exclusively by the laws of the Republic of Rwanda, without regard to conflict of law principles. For Users in jurisdictions with mandatory consumer protection or data protection laws (including EU Member States, Kenya, Nigeria, South Africa, Cameroon, Senegal, Côte d'Ivoire, Ghana, and other applicable jurisdictions), those mandatory protections remain applicable and are not excluded by this clause.
Good-Faith Resolution: Before initiating any formal dispute process, you agree to contact SHEREHE at [email protected] and attempt to resolve the dispute amicably. SHEREHE will respond within 30 calendar days and will make good-faith efforts toward resolution.
Mediation: If good-faith negotiation fails within 30 days, either party may refer the dispute to mediation through the Kigali International Arbitration Centre (KIAC) or a mutually agreed accredited mediator.
Binding Arbitration: If mediation does not resolve the dispute within 60 days of the initial complaint, the dispute shall be finally and exclusively resolved by binding arbitration under the Rules of the Kigali International Arbitration Centre (KIAC), before a sole arbitrator appointed in accordance with those Rules. The arbitration shall be seated in Kigali, Rwanda, conducted in English or French at SHEREHE's election, and the arbitral award shall be final and binding. The arbitrator shall have no authority to award punitive damages beyond those available under applicable law.
Exceptions: Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a competent court to prevent irreparable harm pending arbitration.
Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION AGAINST SHEREHE. ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.
For EU/EEA Users: you retain the right to lodge a complaint with your local data protection supervisory authority regarding SHEREHE's data processing practices.
SHEREHE reserves the right to modify these Terms at any time to reflect changes in law, technology, Services, or business practices. We will notify you of material changes by:
Material changes take effect no sooner than 30 days after notification. Non-material changes (e.g., corrections, clarifications) take effect immediately.
Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree to the changes, you must cease using the Platform and may request account deletion before the effective date.
