Ambassador Program — Terms & Conditions

The SHEREHE Ambassador Program ("Program") is an opt-in referral program operated by Fosia Ltd, a Private Limited Company incorporated in Rwanda (TIN: 122245701), owner of the SHEREHE platform (sherehe.io).

By submitting an application and receiving approval, you ("Ambassador") agree to promote the SHEREHE platform to potential users in exchange for commission-based compensation, subject to the terms set out below.

Participation is voluntary. SHEREHE reserves the right to approve, reject, suspend, or terminate Ambassador accounts at its sole discretion.

• You must be a registered SHEREHE user with a verified account in good standing.
• You must follow the official SHEREHE accounts on Instagram, TikTok, and Facebook (@sherehe.io) before or at the time of application.
• You must describe your promotional strategy clearly (minimum 100 characters) in the application form.
• You must accept these Terms in full. Incomplete applications or false information will result in rejection or immediate suspension.
• If your application is rejected, you may reapply after a 30-day cooling-off period. SHEREHE will communicate the reason for rejection when possible.
• Minors (under 18) are not eligible for the Program.

Upon approval, SHEREHE will generate a unique referral code and link assigned exclusively to you. This code is personal and non-transferable.

A referral is tracked when a new user registers on SHEREHE using your referral link or code. A referral is only considered valid ("Qualified Referral") when the referred user:

• Creates a new SHEREHE account (not a duplicate or previously existing account),
• Completes a qualifying paid action (subscription or per-event purchase) within 30 days of registration.

Self-referrals (using your own code to register a second account), referrals of existing users, and referrals obtained through automated or bot-driven means are strictly prohibited and constitute fraud.

Commissions are fixed amounts per Qualified Referral. The amount depends on the Ambassador's tier, assigned by SHEREHE based on performance, audience reach, and quality of referrals:

Vendor Referrals: A vendor referral qualifies when an event service provider (photographer, caterer, DJ, decorator, venue, etc.) registers on SHEREHE using your referral link and upgrades to a Vendor Premium plan within 30 days. The same 45-day hold period applies.

Tier assignments are at SHEREHE's sole discretion. They reflect engagement quality, audience size, conversion rate, and compliance record — not solely referral volume. SHEREHE reserves the right to adjust commission amounts with 30 days' advance notice to active Ambassadors.

All commissions are calculated on net amounts received by SHEREHE, excluding taxes and payment processing fees. Referrals attributed to trial conversions, refunded transactions, or disputed payments are not eligible.

All commissions are subject to a 45-day hold period from the date the Qualified Referral's payment is confirmed. This hold period allows SHEREHE to verify service satisfaction, protect against chargebacks, payment reversals, and fraud. Commissions are only released once the referred user or vendor has been active and satisfied with the platform for at least 45 days.

After the hold period, commissions become available in your Ambassador balance. Payouts are processed via Mobile Money (MTN Mobile Money or Airtel Money) to the phone number registered in your Ambassador profile.

Minimum payout threshold: $50 USD equivalent. Payout requests below this threshold will be queued until the balance is met.

SHEREHE does not deduct transfer fees from your payout. However, your mobile money operator may apply standard receiving fees outside SHEREHE's control.

If a referred user or vendor requests a refund or cancels their subscription within the hold period, the associated commission will not be credited to your balance.

As an Ambassador, you agree to promote SHEREHE in an honest, professional, and compliant manner. The following activities are strictly prohibited and will result in immediate suspension and forfeiture of pending commissions:

• Fraud: creating fake accounts, using bots, automated scripts, or any deceptive means to generate referrals.
• Self-referral: registering under your own referral code using any account (personal, family, or otherwise), or facilitating such registration by a close associate for the purpose of earning a commission.
• Spam: unsolicited mass messaging, cold SMS/email blasts, or any communication that violates applicable spam laws or SHEREHE's Acceptable Use Policy.
• Misrepresentation: making false or misleading claims about SHEREHE's pricing, features, capabilities, or business.
• Impersonation: presenting yourself as a SHEREHE employee, official partner, or authorized representative without written consent from SHEREHE.
• Paid advertising using SHEREHE brand terms, trademarks, or likeness without prior written approval.
• Disparagement: publishing negative, defamatory, or reputationally harmful content about SHEREHE, its AI systems, or its users.
• Unauthorized data use: collecting, exporting, or sharing any data from your Ambassador dashboard (referral lists, user data, conversion data) outside SHEREHE's platform.

Advertising Disclosure: When sharing your referral link on social media, websites, or any public channel, you must clearly and conspicuously disclose the commercial nature of the relationship (e.g., "#ad", "#sponsored", "affiliate link", or equivalent in your language). Failure to comply with applicable advertising disclosure laws is solely your responsibility.

An Ambassador is considered inactive if no Qualified Referral is registered for a continuous period of 90 days. Automated warnings are sent at 60 days (warning) and 90 days (critical notice) via in-platform notification and WhatsApp.

After 90 days of inactivity:

• Field Agent and Official Ambassador tiers may be reviewed and adjusted downward at SHEREHE's discretion.
• Regular Ambassadors will receive a final notice and may have their referral code deactivated after a further 30-day grace period if no activity resumes.

Ambassadors must maintain their social media follows (@sherehe.io on Instagram, TikTok, and Facebook) throughout their participation. Unfollowing these accounts may result in tier adjustment or suspension.

Ambassadors with a conversion rate below 5% over 60 or more referrals may receive a performance advisory. Persistently low conversion rates may affect tier status, as they may indicate non-compliant promotional practices (untargeted or incentivized signups).

SHEREHE may suspend or terminate an Ambassador account at any time, with or without notice, for:

• Breach of any provision of these Terms.
• Suspicious referral activity (unusual volume, abnormal conversion patterns, or disputed referrals).
• Reputational risk to SHEREHE or its users.
• The underlying SHEREHE user account being suspended or terminated.

Upon suspension, all pending commissions in the hold period will be forfeited. Available (post-hold) commissions will be paid out within 30 days of the suspension date, provided no fraud investigation is ongoing.

Ambassadors may voluntarily withdraw from the Program at any time by contacting support. Available balances will be paid out within 30 days.

SHEREHE reserves the right to monitor all referral activity at any time, including reviewing promotional materials, social media posts, and messaging associated with your referral code.

SHEREHE may request that you provide evidence of promotional activity (screenshots, post links, content samples) to verify the legitimacy of referrals.

Failure to cooperate with an audit request within 7 days may result in temporary suspension of your Ambassador account until the audit is concluded.

The SHEREHE platform, including its brand, trademarks, software, design systems, and all AI systems — in particular Keza AI, the artificial intelligence assistant proprietary to Fosia Ltd — are and remain the exclusive intellectual property of Fosia Ltd. No participation in the Ambassador Program grants any rights over these assets.

SHEREHE may provide Ambassadors with approved promotional materials, logos, and brand assets. You are granted a limited, non-exclusive, non-transferable license to use these materials solely for the purpose of promoting SHEREHE as permitted under these Terms.

You may not modify, alter, or create derivative works of SHEREHE's brand assets without prior written approval. You may not use Keza AI's name, likeness, or conversational outputs in a manner that misrepresents its capabilities or creates confusion about its nature as an AI system.

Any content, testimonials, or promotional materials you create specifically for the purpose of promoting SHEREHE — whether or not solicited by SHEREHE — may be used by SHEREHE in its own marketing with your prior consent.

SHEREHE actively identifies and develops exceptional Ambassadors. Based on consistent performance, audience quality, professionalism, and alignment with SHEREHE's mission, selected Ambassadors may be invited to enter a deeper partnership with Fosia Ltd.

This career path includes the following progression levels, awarded at SHEREHE's sole discretion:

• Regular Ambassador — Entry level. Standard commissions. No formal contract beyond these Terms.
• Field Agent — Enhanced commissions. Recognized for sustained performance and engagement quality.
• Official Ambassador — Premium commissions. Potential brand collaboration, co-marketing, and public recognition.
• Ambassador Partner (Internal) — Selected top performers may be invited to sign a separate Ambassador Partner Agreement. This private addendum governs revenue sharing, territory representation, reporting obligations, confidentiality, and long-term partnership terms. It does not replace these Terms but supplements them.

Invitation to the Ambassador Partner program is not guaranteed, not automatic, and creates no legal obligation on SHEREHE's part to offer such a partnership to any Ambassador. Ambassadors at any tier remain subject to these Terms at all times.

If you are selected, you will be contacted directly by the SHEREHE team at the email address on your account. You are under no obligation to accept.

By participating in the Ambassador Program, you acknowledge and consent to the following automated monitoring practices carried out by SHEREHE's AI compliance systems, including Keza AI:

• Activity monitoring: Keza AI tracks referral volume, conversion rates, timing patterns, and referral identity signals (including phone number deduplication) to detect potential fraud or policy violations.
• Automated notifications: You may receive automated alerts via in-platform notification and WhatsApp if unusual activity, inactivity thresholds, or compliance concerns are detected. These alerts are informational and precede any formal action.
• Flag scoring: Each compliance event generates an internal risk flag. A high flag score may trigger a manual review by the SHEREHE team before any suspension decision is taken.

Automated flags do not constitute a final decision. You always have the right to contest a flag or a suspension by contacting [email protected] within 48 hours of receiving a notification. SHEREHE will review all good-faith appeals.

Commissions paid under the Program may constitute taxable income in your country of residence. You are solely responsible for declaring and paying any applicable taxes on earnings received through the Program.

SHEREHE does not withhold taxes on Ambassador payouts unless legally required to do so by applicable law. SHEREHE may request tax identification information for regulatory compliance purposes.

SHEREHE reserves the right to modify, suspend, or terminate the Ambassador Program at any time. Material changes to commission rates, tier structures, or payout terms will be communicated to active Ambassadors with at least 30 days' advance notice via email or in-platform notification.

Continued participation in the Program after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with the modifications, you may withdraw from the Program before the effective date without penalty.

The Ambassador Program is provided "as-is." SHEREHE makes no warranties regarding the volume of referrals you will generate, the commissions you will earn, or the continued availability of the Program.

SHEREHE shall not be liable for any indirect, incidental, or consequential damages arising out of your participation in the Program, including but not limited to lost profits or business opportunities.

These Terms are governed by the laws of the Republic of Rwanda. Any dispute arising out of or in connection with the Program shall be subject to the exclusive jurisdiction of the courts of Kigali, Rwanda.
